2003 Proxy Statement

Annual Report: The annual report to shareholders is the principal document used by most public companies to disclose corporate information to shareholders. It is usually a company report including an opening letter from the CEO, financial data, market segment information, new product plans, subsidiary activities and research and development activities on future programs.

Proxy Ballot: An authorization by a stockholder to vote for or against directors and business proposals. The results of these votes are announced at the shareholders meeting.

Proxy Statement: Material information required by the SEC (Securities and Exchange Commission) to be given to a corporation's stockholders as a prerequisite to solicit votes. It is required for any issuer subject to the provisions of the Securities Exchange Act of 1934.

Transfer Agent: A transfer agent and registrar for a publicly held company keeps record of every outstanding stock certificate and the name of the person to whom it is registered. When stock changes hands, the transfer agent transfers the ownership of the stock from the seller's name to the buyer's name. The registrar reconciles all transfer records and makes sure that the number of shares debited is equal to the number of shares credited.
